2. Maximum Liability

In no event shall our total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing or using our services during the twelve months preceding the claim, or one hundred dollars ($100), whichever is greater.

3. Basis of the Bargain

The limitations set forth in this section reflect the allocation of risk between the parties. The limitations will apply even if any limited remedy fails of its essential purpose. These limitations shall apply to the fullest extent permitted by law in the applicable jurisdiction.

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Washington, United States, without giving effect to any principles of conflicts of law. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

2. Jurisdiction and Venue

Any legal action or proceeding arising under these Terms and Conditions shall be brought exclusively in the federal or state courts located in King County, Washington, and you hereby irrevocably consent to the personal jurisdiction and venue therein.

3. Informal Resolution

Before initiating formal dispute resolution proceedings, you agree to contact us first to attempt informal resolution. We commit to working in good faith to resolve disputes through negotiation and discussion before escalating to formal legal proceedings.

4. Statute of Limitations

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of our services or these Terms and Conditions must be filed within one year after such claim or cause of action arose, or be forever barred.

Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any executed service agreements, constitute the entire agreement between you and Server Stack regarding your use of our website and services, superseding all prior agreements and understandings.

Severability

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent, or if such modification is not possible, such provision shall be severed. The remaining provisions shall continue in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms and Conditions shall not be deemed a waiver of such right or provision. No waiver shall be effective unless made in writing and signed by an authorized representative of Server Stack.

Assignment

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms and Conditions without our prior written consent. We may freely assign our rights and obligations under these Terms and Conditions to any affiliated entity or in connection with a merger, acquisition, corporate reorganization, or sale of assets.

Force Majeure

We shall not be liable for any failure to perform our obligations under these Terms and Conditions where such failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, labor disputes, governmental actions, or internet disruptions.

Survival

Provisions that by their nature should survive termination of these Terms and Conditions shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability.
